QAU Alert No 2016-27 Revisions in GIS and NUF

All concerned entities are advised that certain revisions are made in the forms for General Information Sheet (GIS) and Notification Update Form (NUF). The revised forms are available in the SEC Website for downloading and shall be used by all covered corporations starting January 2017.

Revision in GIS and NUF
The Securities and Exchange Commission (SEC) in its Memorandum Circular Nos. 14 and 16 series of 2016 issued on August 4 and September 26, 2016 made the following revisions for GIS and NUF:
a) Column for Tax Identification Numbers (TIN) and residential addresses of the Board of Directors/Trustees, Officers, Stockholders/Members of domestic corporations and Resident Agent and officers in the Philippines of foreign corporations for GIS and officers for foreign corporations for NUF shall now be accomplished in a separate sheet denoted as TIN page.
b) Additional paragraph added in the secretary’s certification page for stock and non-stock corporations in GIS which read as follows:
“I HEREBY CERTIFY THAT THE PERSONS INDICATED AS MEMBERS OF THE BOARD OF DIRECTORS/TRUSTEES AND OFFICERS OF THE CORPORATION HAD CONSENTED TO BE NOMINATED AND ELECTED.”
